1. Agreement to These Terms
These Terms of Use ("Terms") are a binding agreement between you and VectraSEO LLC, a Pennsylvania limited liability company ("Fieldwatt," "we," "us," or "our"). They govern your access to and use of the Fieldwatt website at fieldwatt.app, our Android application, and the calculators and related features we provide (together, the "Service").
By creating an account, clicking "I agree" or a similar button, requesting a magic sign-in link, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy and Calculation Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.
Please read Section 11 (Professional Use; No Reliance), Section 9 (Disclaimer of Warranties), Section 10 (Limitation of Liability), Section 12 (Indemnification), and Section 16 (Dispute Resolution; Governing Law) carefully. They limit our liability and affect your legal rights.
2. Eligibility
You may use the Service only if you are at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. The Service is intended for licensed electricians, apprentices, and other qualified electrical-trade professionals in the United States. If you use the Service on behalf of an employer or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.
The Service is offered only in the United States and is not directed to users outside the United States. We make no representation that the Service is appropriate or available for use elsewhere.
3. Accounts and Magic-Link Sign-In
To use certain features you must create an account. We use passwordless ("magic link") email authentication: you provide an email address and we send a one-time sign-in link or code. You are responsible for:
- providing an accurate email address that you control and keeping it current;
- maintaining the security of your email account and any device you use to sign in; and
- all activity that occurs under your account.
Anyone with access to your email or sign-in link may be able to access your account. Notify us promptly at legal@fieldwatt.app if you suspect unauthorized access. We are not liable for loss arising from your failure to secure your email, device, or sign-in link. We may refuse, suspend, or terminate accounts as described in Section 14.
4. License to Use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal professional and business use. We reserve all rights not expressly granted.
5. Acceptable Use; Restrictions
You agree that you will not, and will not permit anyone else to:
- use the Service for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law, code, license requirement, or third-party right;
- copy, reproduce, distribute, republish, scrape, harvest, frame, mirror, or create derivative works from the Service or its content, except as expressly permitted;
- reverse engineer, decompile, disassemble, or attempt to derive source code, formulas, data structures, or underlying ideas of the Service, except to the extent this restriction is prohibited by applicable law;
- resell, sublicense, rent, lease, or commercially exploit the Service, or use it to build or train a competing product or service;
- access the Service through automated means (bots, scripts, scrapers) except as we expressly allow, or circumvent rate limits, paywalls, authentication, or access controls;
- probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
- interfere with or disrupt the Service, introduce malware, or impose an unreasonable load on our infrastructure;
- misrepresent your identity, impersonate others, or share your account except as permitted; or
- remove, obscure, or alter any proprietary notice, disclaimer, or trademark.
We may investigate and take appropriate action (including suspension, termination, and referral to law enforcement) against violations.
6. Free and Paid Features; Subscriptions
6.1 Free vs. Paid
The five core calculators (voltage drop, conduit fill, conduit bending, box fill, and wire ampacity) are available free of charge. A paid subscription ("Fieldwatt Pro" or "Subscription") unlocks additional features, currently including saved jobs, material lists, and code-reference updates. We may change which features are free or paid, add or remove features, or modify feature limits at any time; we will use commercially reasonable efforts to give notice of material changes that adversely affect paid features.
6.2 Pricing and Billing
Subscription pricing is currently $9.99 per month or $99 per year (plus applicable taxes), as shown at the point of purchase. We bill through our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your selected payment method for the Subscription, including recurring charges, taxes, and any other amounts you authorize. Your payment is also subject to Stripe's terms and privacy policy. We do not store full payment card numbers; Stripe processes and stores payment details.
6.3 Automatic Renewal and Cancellation
AUTOMATIC RENEWAL NOTICE. Your Subscription automatically renews at the end of each billing period (monthly or annual) at the then-current price, and your payment method will be charged automatically, until you cancel.
You may cancel at any time online through the billing portal in your account — open the app and go to Account → Manage billing, which launches our payment processor's self-serve customer portal — or by contacting us at legal@fieldwatt.app. Because you subscribe online, you can cancel online in the same medium, with no retention step required. Cancellation stops future renewals. Unless required by law or stated otherwise, cancellation takes effect at the end of the current paid period, and you retain paid access until that period ends. We send subscription confirmations and renewal/price reminders as required by applicable law.
6.4 Refunds
Except where required by applicable law, payments are non-refundable and there are no refunds or credits for partial billing periods, unused features, or unused time. This does not waive any non-waivable rights you may have under the consumer-protection or automatic-renewal laws of your state.
6.5 Price Changes
We may change Subscription prices and fees. For recurring Subscriptions, we will give you advance notice of a price change (by email and/or in-app) before it takes effect, and where required by law we will obtain your affirmative consent to the new price before charging it. The new price applies to the next billing period after the notice. If you do not agree, you may cancel before the change takes effect.
6.6 Taxes and Chargebacks
You are responsible for applicable taxes. If a payment is reversed, charged back, or fails, we may suspend or terminate your paid access and pursue amounts owed.
7. Intellectual Property
The Service, including its software, design, text, graphics, user interface, calculator logic, compilations, and trademarks (collectively, "Fieldwatt Content"), is owned by Fieldwatt or its licensors and is protected by intellectual-property and other laws. Except for the limited license in Section 4, no rights are transferred to you. "Fieldwatt" and our logos are our trademarks; you may not use them without our prior written permission.
Your content. You retain ownership of the job data, project details, material lists, notes, and other content you enter or save ("Your Content"). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, secure, and provide the Service to you and as described in the Privacy Policy. You represent that you have the rights to submit Your Content and that it does not violate law or third-party rights.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
8. NFPA / NEC Non-Affiliation and Trademark Notice
Fieldwatt is an independent product. It is not affiliated with, endorsed by, sponsored by, or approved by the National Fire Protection Association ("NFPA"). "NEC®," "National Electrical Code®," and "NFPA 70®" are registered trademarks of NFPA. Any reference to the NEC or to code provisions is for identification and general reference only and does not imply affiliation.
Fieldwatt does not reproduce, copy, or distribute NFPA's copyrighted code text or its copyrighted tables. Our calculators produce results from engineering formulas and publicly known facts and values, not from reproduction of NFPA's protected content. The official, authoritative source of any code requirement is the code edition adopted by your Authority Having Jurisdiction. You are responsible for obtaining and consulting the official adopted code. See Section 11 and the Calculation Disclaimer.
9. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL CALCULATORS, RESULTS, AND CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
To the fullest extent permitted by law, we and our suppliers and licensors disclaim all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement, and any warranties arising from course of dealing or trade usage.
We do not warrant that: (a) any calculation, result, value, or output is accurate, complete, current, reliable, or appropriate for your project; (b) the Service complies with, or that results satisfy, any code, standard, license requirement, manufacturer specification, or inspection; (c) the Service will be uninterrupted, secure, timely, or error-free; or (d) any errors will be corrected. Any reliance on the Service is at your sole risk. No advice or information obtained from the Service creates any warranty not expressly stated here.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you; in that case, such warranties are limited to the minimum scope and duration permitted by law.
10. Limitation of Liability
READ THIS SECTION CAREFULLY. IT LIMITS WHAT YOU CAN RECOVER FROM US.
To the fullest extent permitted by applicable law:
(a) No indirect or consequential damages. In no event will Fieldwatt or its owners, officers, employees, contractors, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, or for any cost of substitute products or services, or for any damages arising from property damage, work that fails inspection or rework, project delay, fines, equipment damage, fire, personal injury, or death, in each case arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
(b) Aggregate cap. Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) the total amounts you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100).
(c) Essential basis. These limitations apply even if a limited remedy fails its essential purpose, and they reflect a reasonable allocation of risk and an essential basis of the bargain between you and us. The free calculators in particular are provided without charge, and the limits above reflect that.
(d) Exceptions. Some jurisdictions do not allow the exclusion or limitation of certain damages (including, in some cases, liability for gross negligence, willful misconduct, fraud, or personal injury). Nothing in these Terms limits liability that cannot be limited under applicable law. Where such limits are not permitted, our liability is limited to the minimum extent allowed by law.
11. Professional Use; No Reliance
THIS IS A SAFETY-CRITICAL DISCLAIMER. READ IT.
Fieldwatt provides computational aids, not professional advice. The calculators are tools to assist a qualified person; they are not a substitute for professional judgment, licensed expertise, a stamped or sealed engineering design, an inspection, or the official adopted electrical code.
You acknowledge and agree that:
- You are a qualified, responsible professional. You will use the Service only if you are competent and, where required, licensed to perform the relevant electrical work, and you remain solely responsible for all decisions, designs, and work.
- Fieldwatt is not your engineer, electrician, inspector, or adviser. We do not perform engineering, design, inspection, or other professional services, and no result is a certification of code compliance, safety, or fitness. Use of the Service creates no professional or fiduciary relationship.
- You must independently verify every result before relying on it, against: the current edition of the electrical code actually adopted by your Authority Having Jurisdiction (AHJ), including state and local amendments; the requirements of your AHJ and inspector; manufacturer instructions and listed equipment ratings; actual field conditions (including temperature, ambient correction, conductor fill, bundling, terminations, voltage, and load); and your own calculations and professional judgment.
- Inputs and assumptions matter. Results depend entirely on the inputs you provide and on standard assumptions the calculator makes; wrong inputs, an unsupported scenario, or an inapplicable assumption will produce a wrong result. The Service may not account for every variable in your installation.
- Electrical work is hazardous. A wrong calculation can cause inspection failure, rework, property damage, fire, serious injury, or death. You assume all risk of using the Service.
If you do not accept these responsibilities, you must not use the Service.
12. Indemnification
You agree to defend, indemnify, and hold harmless Fieldwatt and its owners, officers, employees, contractors, agents, suppliers, and licensors from and against any and all claims, demands, suits, actions, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or reliance on the Service or any result; (b) any electrical work, design, installation, repair, or inspection you perform, supervise, or advise on; (c) Your Content; (d) your violation of these Terms or of any law, code, license requirement, or third-party right; or (e) your negligence or misconduct.
We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate. You will not settle any matter affecting us without our prior written consent. This Section survives termination.
13. Third-Party Services
The Service relies on third-party providers, including Stripe (payments), and Amazon Web Services (hosting and storage, including Amazon DynamoDB, and Amazon SES for email delivery). Your use may be subject to their terms. We are not responsible for third-party services, and your dealings with them are at your own risk. Links or references to third-party resources are provided for convenience and are not endorsements.
14. Suspension and Termination
You may stop using the Service at any time and may cancel a Subscription as described in Section 6. We may suspend, restrict, or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms or the law, to protect the Service or other users, for non-payment, or if we discontinue the Service or a feature.
On termination, your license ends and we may delete or disable access to Your Content, subject to the retention and deletion practices in the Privacy Policy. Sections that by their nature should survive (including Sections 5, 7–13, 15–18) survive termination. Termination does not entitle you to a refund except as required by law or stated in Section 6.
15. Changes to the Service and to These Terms
We may modify, suspend, or discontinue all or part of the Service at any time. We may also update these Terms. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before they take effect and will update the "Last updated" date. Changes apply prospectively; they do not retroactively alter disputes that arose before the change. Your continued use of the Service after the effective date of updated Terms means you accept them. If you do not agree, you must stop using the Service.
16. Dispute Resolution; Governing Law
16.1 Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in the Commonwealth of Pennsylvania, and you consent to personal jurisdiction there. Nothing in this Section deprives you of any protection of a non-waivable consumer-protection law of your home state.
16.2 Time Limit
To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
17. General
Entire agreement. These Terms, the Privacy Policy, and the Calculation Disclaimer are the entire agreement between you and us regarding the Service and supersede prior agreements. Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect. No waiver. Our failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them, including in a merger, acquisition, or sale of assets. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Relationship. No partnership, agency, joint venture, or employment relationship is created. Notices. We may provide notices by email or in-app. You consent to receive communications electronically.
